MatterVanta
LAW FIRM SERVICE AGREEMENT
Effective Date: September 12, 2026
This Law Firm Service Agreement (“Agreement”) is entered into between MatterVanta LLC , a Delaware limited liability company , with its principal business address at 244 5th Ave Suite #1632, New York, NY 10001 (“MatterVanta,” “we,” “us,” or “our”), and the law firm identified during account registration or in the applicable order or signup process (“Law Firm,” “you,” or “your”).
MatterVanta operates MatterVanta, a software-as-a-service (“SaaS”) platform that provides law firms with online client intake, questionnaire, document collection, data organization, and related software tools.
By creating an account, purchasing a MatterVanta service, or otherwise accessing or using the MatterVanta platform, the Law Firm agrees to be bound by this Agreement.
1. MATTERVANTA PLATFORM
MatterVanta provides a software platform designed to assist law firms with collecting information and documents from their clients and organizing that information for the Law Firm’s use.
MatterVanta is a technology and software provider. MatterVanta is not a law firm, does not provide legal advice, does not provide legal representation, and does not establish an attorney-client relationship with any client of the Law Firm.
The Law Firm remains solely responsible for:
- providing legal advice and legal representation to its clients;
- determining whether information provided by a client is accurate and complete;
- reviewing information and documents collected through the MatterVanta platform;
- determining what information and documents are required for a client’s legal matter;
- complying with all applicable laws, regulations, professional rules, and ethical obligations; and
- maintaining its own attorney-client relationships and responsibilities.
MatterVanta does not make legal determinations, prepare legal advice, or guarantee that information collected through the platform is sufficient for any particular legal filing or proceeding.
2. LICENSE TO USE THE PLATFORM
Subject to payment of applicable fees and compliance with this Agreement, MatterVanta grants the Law Firm a limited, non-exclusive, non-transferable, revocable license to access and use the MatterVanta platform for the Law Firm’s internal business purposes.
The Law Firm may invite its clients to use the platform solely for purposes authorized by the Law Firm.
The Law Firm may not:
- resell, sublicense, lease, or otherwise provide the MatterVanta platform to another business;
- copy, modify, reverse engineer, decompile, or attempt to derive the source code of the platform;
- circumvent security or access controls;
- use the platform to provide competing software services;
- allow unauthorized persons to access the Law Firm’s account; or
- use the platform for any unlawful purpose.
3. FEES AND PAYMENT STRUCTURE
MatterVanta does not require a recurring monthly or annual subscription payment for the standard Law Firm account.
Unless otherwise expressly stated at the time of purchase, MatterVanta charges fees on a one-time, non-recurring basis.
The Law Firm may be charged for:
- a one-time account registration or activation fee, if applicable;
- individual client intake services purchased by the Law Firm;
- optional services or add-ons purchased by the Law Firm; and
- other services specifically identified and accepted by the Law Firm at the time of purchase.
Each applicable charge is a separate transaction. No charge automatically renews, and no monthly or annual recurring fee is imposed unless the Law Firm separately agrees to a future recurring service in writing.
The applicable price will be displayed to the Law Firm before the Law Firm completes the purchase.
All prices are stated in U.S. dollars unless otherwise indicated.
4. CLIENT INVITATIONS AND PER-CLIENT FEES
The Law Firm may invite its clients to use MatterVanta for intake and document collection.
Where a per-client fee applies, the Law Firm will be charged a one-time fee for that client.
A per-client fee is not a monthly or annual subscription fee and does not automatically renew.
The applicable client fee will be displayed to the Law Firm before the Law Firm confirms the purchase or client invitation.
Once a client invitation has been activated or the client has begun using the applicable paid service, the applicable fee may become non-refundable, subject to the Refund Policy described in this Agreement.
The Law Firm is responsible for ensuring that it has the authority and appropriate consent to provide MatterVanta with its clients’ information and to invite its clients to use the platform.
5. PAYMENT AUTHORIZATION
The Law Firm authorizes MatterVanta and its authorized payment processor to charge the payment method selected by the Law Firm for applicable purchases.
The payment card may be securely stored by MatterVanta’s payment processor for future transactions authorized by the Law Firm.
MatterVanta does not store complete payment card numbers or payment card security codes on its own servers where payment processing is handled by a third-party payment processor.
Each future purchase will result in a separate charge based on the applicable service or client purchase.
The Law Firm may update its payment information through the available account or payment-management functionality.
6. PRICING
MatterVanta’s current prices may include, without limitation:
Intake
$29.99 USD per client
Plus
$69.99 USD per client
Complete
$99.99 USD per client
The applicable price for a particular purchase will be displayed before the Law Firm completes that purchase.
MatterVanta may change its pricing from time to time. Any pricing change will apply only to purchases made after the new pricing becomes effective and will not retroactively change the price of a previously completed purchase.
MatterVanta may also offer promotional pricing, discounts, bundles, or other special offers. Unless otherwise stated, promotional offers may be subject to additional terms and may be withdrawn or modified at any time before purchase.
7. OPTIONAL SERVICES
MatterVanta may offer optional services and features that can be purchased separately. These services may include:
Payroll Assistant. Payroll Assistant may allow a client to connect an eligible payroll or financial account through an authorized third-party provider, such as Plaid, to retrieve available payroll-related information. Current Standard pricing is $12.99 USD. The applicable price will be displayed before purchase.
Bank Statement Assistant. Bank Statement Assistant may allow a client to connect an eligible financial account through an authorized third-party provider, such as Plaid, to retrieve available bank statement information. Current Standard pricing is $15.99 USD. The applicable price will be displayed before purchase.
Document assistance services. Where offered, a MatterVanta representative may contact the client’s authorized contact to provide assistance with document scanning and uploading through the MatterVanta mobile application. Pricing will be displayed before purchase.
Paralegal Check. Where available, Paralegal Check is an automated software-based review that may compare questionnaire information against selected bankruptcy schedules or related information and identify potential inconsistencies. Paralegal Check is an administrative software tool only. It does not constitute legal advice, legal review, or a determination that information is accurate or complete. Current Standard pricing is $7.99 USD.
Petition-System Import. Where purchased, MatterVanta personnel may enter information collected through the platform into petition-preparation software designated by the Law Firm. The Law Firm authorizes MatterVanta personnel to access the information reasonably necessary to provide this service. Current Standard pricing is $13.99 USD.
Profit/Loss Assistant. Where available, Profit/Loss Assistant may use information obtained through Bank Statement Assistant and information entered by the client or Law Firm to generate financial calculations or reports. The Law Firm remains responsible for reviewing all calculations and determining whether the information is appropriate for its legal matter. Current Standard pricing is $36.99 USD.
8. THIRD-PARTY SERVICES
Certain MatterVanta features may use third-party services, APIs, hosting providers, payment processors, financial-data providers, communications providers, or other technology providers.
Examples may include:
- payment processing providers;
- Plaid;
- Amazon Web Services (“AWS”);
- telecommunications or SMS providers; and
- other service providers necessary to operate or improve the platform.
Third-party services may have their own terms, privacy policies, security practices, and availability requirements.
MatterVanta is not responsible for the independent acts, omissions, availability, or policies of third-party providers.
MatterVanta may change, replace, or discontinue a third-party provider when reasonably necessary to operate the platform.
9. CLIENT DATA
The Law Firm retains responsibility for the information and documents it submits to MatterVanta or causes its clients to submit through the platform.
MatterVanta will use client information only as reasonably necessary to:
- provide the MatterVanta services;
- provide services requested by the Law Firm;
- maintain and secure the platform;
- provide customer support;
- comply with legal obligations;
- prevent fraud, abuse, or security incidents; and
- otherwise operate the MatterVanta business as described in its Privacy Policy.
MatterVanta will not sell client information as a commercial data product.
The Law Firm represents that it has the necessary authority and permissions to provide client information to MatterVanta and to instruct MatterVanta to process that information for the purposes of providing the services.
10. CONFIDENTIALITY AND SECURITY
MatterVanta will use commercially reasonable administrative, technical, and organizational safeguards designed to protect information processed through the platform.
The Law Firm acknowledges that no internet-based system can be guaranteed to be completely secure.
The Law Firm is responsible for maintaining the confidentiality of its account credentials and for limiting access to authorized personnel.
If the Law Firm becomes aware of unauthorized access to its account, it should promptly notify MatterVanta.
11. DATA RETENTION
MatterVanta may retain client information and documents for the applicable retention period associated with the purchased service or plan.
Unless otherwise stated at the time of purchase:
- Standard services may retain client information for up to 24 months;
- Premium and Ultimate services may retain client information for up to 36 months; and
- additional storage periods may be available as an optional service.
After the applicable retention period, MatterVanta may delete the applicable information and documents, subject to legal, security, backup, or other legitimate retention requirements.
The Law Firm is responsible for maintaining its own copies of information and documents that it is legally or professionally required to retain.
12. PRIVACY
MatterVanta’s collection, use, storage, and disclosure of personal information are described in the MatterVanta Privacy Policy, which is incorporated into this Agreement by reference and is available at https://mattervanta.com/privacy.
The Law Firm is responsible for providing its clients with any notices, disclosures, consents, or other information required under applicable law, professional rules, or the Law Firm’s relationship with its clients.
Nothing in this Agreement prevents either party from complying with applicable privacy, data-protection, security, or legal requirements.
13. ATTORNEY-CLIENT RELATIONSHIP
MatterVanta is a software provider and does not provide legal services.
The Law Firm is solely responsible for its relationship with its clients, including determining whether attorney-client privilege, confidentiality, work-product protection, or other legal protections apply to information provided through the MatterVanta platform.
MatterVanta does not independently determine whether particular information is privileged, confidential, protected work product, or otherwise subject to a legal protection.
The Law Firm remains responsible for determining what information may properly be submitted to the MatterVanta platform.
14. REFUNDS AND CANCELLATIONS
The Law Firm may cancel its MatterVanta account at any time by contacting MatterVanta at info@mattervanta.com or by using any account-cancellation option available in the platform. Account cancellation stops future use of the platform and does not automatically entitle the Law Firm to a refund of fees already paid, except as expressly provided in this section or required by applicable law.
Because MatterVanta provides digital software and services that may become available immediately after purchase, fees are generally non-refundable once the applicable service has been activated or used.
A refund may be requested only for a client invitation / per-client fee where the invited client remains in an invited status and has never logged in to the client account. Once the client logs in, or the invitation is otherwise activated beyond invited status, that fee is non-refundable.
A Law Firm may request a refund by contacting MatterVanta at info@mattervanta.com.
Refund requests should include the Law Firm’s name, transaction information, the service purchased, and the reason for the request.
Where a refund is approved, MatterVanta will generally process the refund to the original payment method within 30 days after approval, subject to the processing timelines of the payment provider or financial institution.
MatterVanta may issue a refund, partial refund, replacement service, or account credit where MatterVanta determines that such remedy is appropriate.
Nothing in this section limits any non-waivable rights or remedies available to the Law Firm under applicable law.
15. NO GUARANTEE OF LEGAL OR FILING OUTCOME
MatterVanta does not guarantee:
- that information entered by a client is accurate or complete;
- that documents uploaded by a client are sufficient for a particular legal matter;
- that a bankruptcy petition or other legal filing will be accepted;
- that a filing will be completed successfully;
- that the platform will identify every error or inconsistency;
- that any particular legal result will be achieved; or
- that the platform will be continuously available without interruption.
The Law Firm is solely responsible for reviewing and using information obtained through the platform.
16. INTELLECTUAL PROPERTY
MatterVanta and its licensors retain all rights, title, and interest in and to the MatterVanta platform, software, interfaces, designs, documentation, trademarks, logos, and related intellectual property.
Except for the limited license expressly granted under this Agreement, no rights are transferred to the Law Firm.
The Law Firm may not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit MatterVanta’s proprietary software or intellectual property except as expressly permitted by this Agreement or applicable law.
17. CONFIDENTIALITY
Each party may receive confidential information belonging to the other party.
The receiving party agrees to use reasonable care to protect the other party’s confidential information and to use such information only for purposes related to the parties’ business relationship.
Confidential information does not include information that:
- is or becomes publicly available through no breach of this Agreement;
- was lawfully known to the receiving party before disclosure;
- is independently developed without use of the confidential information; or
- is lawfully obtained from a third party without a confidentiality obligation.
A party may disclose confidential information when required by law, regulation, court order, or governmental authority, provided that the party gives notice where legally permitted.
18. SUSPENSION AND TERMINATION
MatterVanta may suspend or terminate access to the platform if the Law Firm:
- materially breaches this Agreement;
- fails to pay applicable fees;
- engages in unlawful or fraudulent activity;
- attempts to compromise the security of the platform; or
- uses the platform in a manner that creates a material risk to MatterVanta, its users, or third parties.
The Law Firm may stop using the platform at any time.
Termination does not automatically entitle the Law Firm to a refund of previously purchased services.
Sections that by their nature should survive termination, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, dispute resolution, and governing law, will survive termination.
19. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the MatterVanta platform and services are provided on an “as is” and “as available” basis.
MatterVanta disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability, except to the extent that such warranties cannot legally be excluded.
MatterVanta does not warrant that the platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
20. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, MatterVanta will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill arising from or related to the use of the platform.
To the maximum extent permitted by applicable law, MatterVanta’s aggregate liability arising out of or relating to this Agreement or the services will not exceed the total amount actually paid by the Law Firm to MatterVanta during the 12 months immediately preceding the event giving rise to the claim.
Nothing in this Agreement limits liability that cannot legally be limited or excluded under applicable law.
21. INDEMNIFICATION
To the extent permitted by applicable law, the Law Firm agrees to defend, indemnify, and hold harmless MatterVanta and its officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses arising from:
- the Law Firm’s breach of this Agreement;
- the Law Firm’s unlawful use of the platform;
- the Law Firm’s violation of applicable law or professional obligations;
- information submitted to the platform by or on behalf of the Law Firm where the Law Firm did not have the necessary authority to submit that information; or
- disputes between the Law Firm and its clients.
22. DISPUTE RESOLUTION
The parties will first attempt in good faith to resolve any dispute arising from this Agreement through informal discussions.
If the dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to this Agreement, including its interpretation, breach, termination, or validity, will be resolved through binding arbitration to the extent permitted by applicable law.
The arbitration will be conducted by a mutually agreed arbitration provider or arbitrator in accordance with the applicable arbitration rules.
The arbitration will be conducted in English.
Nothing in this section prevents either party from seeking temporary or injunctive relief from a court of competent jurisdiction when necessary to protect intellectual property, confidential information, data, or security interests.
23. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles.
Subject to the dispute-resolution provisions of this Agreement, the state and federal courts located in the State of Delaware shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to this Agreement.
24. SEVERABILITY
If any provision of this Agreement is determined to be unlawful, invalid, or unenforceable, that provision will be modified or replaced to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.
The remaining provisions will remain in full force and effect.
25. CHANGES TO THIS AGREEMENT
MatterVanta may update this Agreement from time to time.
For material changes, MatterVanta will provide reasonable notice through the platform, by email, or by posting the updated Agreement on the MatterVanta website.
The updated Agreement will apply prospectively from its effective date, except where otherwise required by applicable law.
26. ENTIRE AGREEMENT
This Agreement, together with the MatterVanta Privacy Policy, Refund/Cancellation Policy, and any applicable order or purchase terms, constitutes the entire agreement between the Law Firm and MatterVanta regarding the MatterVanta platform and supersedes prior discussions or agreements concerning the same subject matter.
If there is a conflict between this Agreement and a specific written order accepted by MatterVanta, the specific order will control only with respect to the conflicting commercial terms.
27. ELECTRONIC ACCEPTANCE
The Law Firm agrees that clicking “I Agree,” creating an account, purchasing services, or otherwise using the MatterVanta platform constitutes electronic acceptance of this Agreement.
The person accepting this Agreement represents that they are authorized to bind the Law Firm.
Electronic records of acceptance, purchases, invoices, and communications may be used as evidence of the parties’ agreement.
